A SELECTION OF RECENT SALES

Q2 has been a busy quarter with large numbers of viewings which is hopefully a sign that there is more confidence from buyers and will filter down to more sales for our seller clients.

With the General Election round the corner, there is speculation that interest rates will drop once the new Government is in place which again can only have a positive effect on the market.

His vast knowledge of the business transfer and commercial property market – developed over the last 39 years – means you’d be hard pushed to find a question about buying and selling commercial property that he doesn’t know the answer to. As well as being MD, Paul’s also one of our team of valuers and you’ll often find him negotiating the sales of the many different business

Our Sales Director, Stuart Moorhouse, has been with Ernest Wilson after joining the company from Barclays Bank in 1991 and starting as a Sales Negotiator. His enthusiasm for the industry means that he’s developed a wealth of experience and quite a loyal following of clients, too!

Mark Czajka joined the firm in February 2019 after spending over 20 years running his own restaurant, bar and service businesses in both the UK and US. Having sold these businesses, Mark then became a valuer and corporate sales negotiator with a national firm. The wealth of experience gained from having operated his own businesses, coupled with his vast experience in consulting for other business owners, Mark understands business from a dual perspective and has developed a strong affinity with clients.

Joined July 2002. Michael Peel has marked his 22nd year at Ernest Wilson, after joining us in 2002 as a Sales Negotiator. Now a Director and Valuer, Michael can usually be found handling the sales of high-value businesses and properties with prices upwards of £500,000. He also oversees the sales of all business transactions through the company, deals with contract queries and chases those solicitors for completion!

Jason Payne joined Ernest Wilson in June 2022 after a career in commercial property and business sales. He is a Member of National Association of Estate Agents (Commercial) and an Associate of the National Association of Valuers & Auctioneers. As a former business owner, Jason has experience and an excellent track over a variety of sectors, he is very well placed to provide advice to clients.

At Ernest Wilson we have a portfolio of around a thousand businesses for sale across the UK. You can also register with us to get full information on the current businesses we’re marketing and receive notifications when new businesses are put up for sale. What factors should I consider when evaluating a business to buy?

When evaluating a business to buy, factors to consider include financial performance, industry trends, market competition, growth potential, operational efficiency, legal and regulatory compliance, and the compatibility of the business with your skills and experience.

What financing options are available for buying a business?

Financing options for buying a business may include bank loans, asset-based lending and angel investors. The most suitable option depends on factors such as the size of the business, your financial situation, and the terms of the sale. Our finance division can share extensive expertise on finance gained from our vast experience of arranging loans on behalf of clients. When you’ve spoken to us, if raising finance is possible then we’ll be happy to arrange this through our extensive network of lending contacts. Often, a business plan is required to support raising the finance, and we can help you with this to support your application.

How do I conduct due diligence on a potential business purchase?

Due diligence involves a thorough examination of the business’s financial records, legal documents, operations, assets, liabilities, customer contracts, employee agreements, and any other relevant information. The information gathered during due diligence will be required by your solicitor and accountant who will make sure that you are fully informed and protected. What are the key legal considerations when buying a business?

Legal considerations when buying a business include drafting or reviewing the purchase agreement, addressing any outstanding legal issues, transferring/applying for licenses and permits, complying with employment laws, and protecting intellectual property rights. Hiring a solicitor and accountant experienced in business acquisitions can help navigate legal complexities, review contracts and financial documents, perform due diligence, and ensure that the purchase is structured optimally from a tax and legal perspective.

How do I negotiate the purchase price and terms of the sale?

When it comes to negotiating the purchase price and terms, our team is here to guide you every step of the way. We’ll help you understand the ins and outs of the deal, ensuring you’re comfortable and confident throughout the process. Whether it’s assessing the business’s value, conducting due diligence, or finding common ground with the seller, our experienced negotiators will work tirelessly to secure a fair and favourable outcome. Your satisfaction is our priority, and we’re committed to making the negotiation process smooth and stress-free for you.

What happens after the purchase is completed?

After completing the purchase, your solicitor will take care of the paperwork and provide all the necessary documents. They’ll handle everything from transferring ownership to drafting letters for employees and notifying stakeholders. It’s as easy as handing over the reins and watching your new business flourish.

How can I ensure a smooth transition after buying a business?

Ensuring a smooth transition involves effective communication with employees, customers, suppliers, and other stakeholders, retaining key employees (if necessary), implementing any necessary changes gradually, and addressing any challenges promptly to minimise disruption to the business’s operations.

What resources are available to help me navigate the process of buying a business?

Resources to help with buying a business include business brokers, solicitors, accountants, industry associations, online guides and forums, and networking events. Seeking advice and guidance from experienced professionals and peers can provide valuable insights and support throughout the process. If you choose to buy with us, we believe in giving you the very best service. After all, you are making a life changing commitment, and that requires a little bit of support. Through a free, face to-face consultation, we’ll talk you through the ins and outs of the business you’re thinking of buying, providing information on the business’s current financials and what profits you might expect to make, based on profit performance. CLOSED RESTAURANT AND TAKEAWAY Drighlington, West Yorkshire.

A fabulous opportunity to develop a new restaurant and takeaway business from these ideal premises at the heart of Drighlington. Occuping a prime position on a corner site at the junction of the A58 Whitehall Road and the B6135 King Street, which sees thousands of vehicles passing daily. Our client closed the business due to retirement after the site had traded very successfully as an Oriental restaurant for over 27 years. In our opinion, this would be a very easy business to re-establish and rebuild in the right hands. Whether maintaining the current cuisine or introducing something different, the restaurant’s interior can adapt to various concepts with minimal effort, especially with the spacious commercial kitchen which will easily allow for a wider menu. This wonderful detached building comprises a reception / waiting area with a large bar and seating for around 20 customers with ladies’ and gents’ WCs off. Large dining area for around 55 diners plus a small first floor mezzanine seating area accommodating a further 15 diners. Large waiters’ station. Huge well equipped commercial kitchen serving both the restaurant and takeaway, including a wide array of commercial cookers, equipment, and extraction systems. Food storage / prep rooms and a walk-in fridge / freezer. WC. A separate takeaway entrance allows customers to order and collect their meals. The property also includes a beer / wine cellar. Self-contained two-bedroom apartment, comprising a lounge with an office area to the rear, a kitchen, two bedrooms and a bathroom. Externally, there is a large car park at the front for around 14 vehicles.
